The rules that govern our working relationship
These terms cover your use of this website and the basis on which we provide payroll, employer of record, PEO, HR and recruitment services in Bangladesh. Please read them before engaging us.
These terms sit alongside your service agreement
If you are a client, the signed service agreement between us takes precedence wherever it says something different. These terms fill the gaps and govern general use of this website by everyone else.

By using this website, requesting a quotation or engaging Payroll2Bangladesh for any service, you accept these terms. If you do not accept them, please do not use the site or our services.


1. Who We Are

Payroll2Bangladesh is a Dhaka-based payroll outsourcing, employer of record and HR services provider operating in Bangladesh since 2007. In these terms, “we”, “us” and “our” refer to Payroll2Bangladesh; “you” and “your” refer to the person or company using this website or our services.


2. Services We Provide

Our services include, and are not limited to:

  • Monthly payroll processing, gross-to-net calculation and payslip generation
  • Tax deducted at source, provident fund, gratuity and statutory filings
  • Employer of record and PEO co-employment arrangements
  • Recruitment, onboarding and expatriate work permit support
  • HR administration, workforce management and compliance documentation

The exact scope, deliverables, service levels and fees for your engagement are set out in your service agreement or accepted quotation. Nothing on this website constitutes an offer capable of acceptance, and the information here is general in nature rather than legal, tax or accounting advice for your specific situation.


3. Your Responsibilities as a Client

Payroll depends on the accuracy and timeliness of what you give us. You agree to:

  • Supply accurate data on time — employee details, salary structures, attendance, leave, overtime and any changes, by the agreed monthly cut-off date
  • Fund payroll in advance — salaries, statutory deductions and our fees must be available before the disbursement date
  • Give lawful instructions — we will not process an instruction that breaches the Bangladesh Labour Act 2006, tax rules or any other applicable law
  • Hold the necessary authority — you confirm you are entitled to share employee data with us and to instruct us on its processing
  • Review before approval — payroll summaries are issued for your review, and your approval is what releases the payment run

We are not responsible for errors, penalties or delays that follow from late, incomplete or inaccurate information supplied to us, or from late funding.


4. Our Commitments

  • Deliver services with reasonable skill, care and professional diligence
  • Apply the tax slabs, deduction rates and statutory rules in force at the time of processing
  • Maintain payroll registers, filings and supporting documentation for the periods the law requires
  • Treat your data and your employees’ data as confidential
  • Tell you promptly if we identify an error in work we have carried out, and correct it

5. Fees and Payment

Fees are set out in your service agreement or accepted quotation. Prices shown on this website are indicative and may change; the figure confirmed in writing to you is the one that applies.

  • Invoices are payable by the due date stated on the invoice
  • Fees are exclusive of VAT and any other applicable government charges unless stated otherwise
  • Salary funds, statutory deposits and third-party disbursements are separate from our service fee
  • We may suspend services on continued non-payment, after giving you written notice

6. Confidentiality

Salary data is confidential by default. We do not disclose your commercial information or your employees’ payroll records to anyone outside the engagement, except where a law, court or regulator requires it.

Each party agrees to keep the other’s confidential information secure and to use it only for the purposes of the engagement. This obligation continues after the engagement ends. Where disclosure is legally required, we will tell you unless we are prohibited from doing so.


7. Data Protection

How we collect, use, store and protect personal data is set out in our Privacy Policy, which forms part of these terms. In short: where we process employee data on your instructions we act as processor and you remain responsible for the lawful basis of that processing; where you contact us directly we act as controller.


8. Intellectual Property

All content on this website — text, graphics, layout, logos and downloadable material — belongs to Payroll2Bangladesh or its licensors and is protected by copyright and trade mark law. You may view and print pages for your own business use. You may not republish, sell, copy at scale, or present our material as your own without written permission.

Templates, reports, checklists and working papers we prepare for you remain ours; you receive a licence to use them for the purpose they were provided.


9. Acceptable Use of This Website

You agree not to:

  • Use the site for any unlawful purpose or in breach of Bangladeshi law
  • Attempt to gain unauthorised access to the site, its servers or connected systems
  • Introduce malicious code, or interfere with the availability or security of the site
  • Scrape, harvest or systematically extract content or contact details
  • Submit false, misleading or third-party information through our forms without authority

10. Third-Party Links and Providers

Our pages link to government portals and other external sites for reference. We do not control those sites and are not responsible for their content or availability. Where a service depends on a third party — a bank, a government portal or a regulator’s processing time — we are not liable for delays outside our control.


11. Limitation of Liability

Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for fraud.

Subject to that, and unless your service agreement states otherwise, our total liability arising out of an engagement is limited to the fees paid by you to us for the service in question over the twelve months preceding the claim. We are not liable for indirect or consequential loss, loss of profit, loss of business or reputational loss.

We are not liable for penalties, interest or losses caused by information supplied late or incorrectly, by instructions we were asked to follow, or by changes in law applied after processing was completed.


12. Term, Termination and Handover

Either party may end an engagement by giving the written notice period stated in the service agreement. On termination:

  • Fees earned up to the termination date remain payable
  • We will hand over payroll records, registers and filings in a usable format
  • We will retain copies only for the periods the law requires
  • Confidentiality obligations survive the end of the engagement

We may suspend or end an engagement immediately where continuing would place us in breach of the law, or where an instruction would require us to act unlawfully.


13. Events Beyond Our Control

We are not in breach of these terms where performance is prevented or delayed by events beyond our reasonable control, including natural disasters, hartals or civil disruption, banking system outages, prolonged power or internet failure, government action or regulatory portal downtime. We will tell you promptly and resume as soon as we reasonably can.


14. Governing Law and Disputes

These terms are governed by the laws of the People’s Republic of Bangladesh. The courts of Dhaka have jurisdiction over any dispute arising from them.

Before starting proceedings, both parties agree to attempt resolution in good faith through discussion between senior representatives. Where a service agreement provides for arbitration, that provision applies instead.


15. Changes to These Terms

We update these terms when our services or the law change. The current version is always the one published on this page. Where a change materially affects an active engagement, we tell clients directly rather than rely on this page alone.
